             CML MICROSYSTEMS PLC ('the Company')
                               
                   DIRECTORS SHARE DEALINGS
                               

The  Company has been notified that on 27 January 1999 Mr  G  J
Bates  and  Mr  N  G  Clark director's  of  the  Company,  both
exercised options over 20,000 ordinary shares of 5p each in the
Company  ('Ordinary Shares') at an exercise price of £1.20  per
Ordinary Share. In addition, Mr Bates and Mr Clark subsequently
sold  20,000 and 12,500 Ordinary Shares respectively at a price
of £2.645 per Ordinary Share.

Following  these  transactions, Mr Clark and Mr  Bates  have  a
beneficial  interest  in the Company's  issued  ordinary  share
capital  of  75,888  and  40,000 Ordinary  Shares  respectively
representing 0.53 per cent. and 0.28 per cent. respectively  of
the   Company's  total  issued  ordinary  share  capital.    In
addition,  Mr Clark and Mr Bates both have options over  20,000
Ordinary  Shares  remaining  at an  exercise  price  of  £1.475
exerciseable from 26 June 2000 to 25 May 2004.
