                            Director's Shareholding

The Company was notified on 28 July 2004 that on the same day Mr Nigel G Clark,
a director of the Company, purchased 1,737 Ordinary 5p Shares ('Ordinary
Shares') at a price of 416p per Ordinary Share. Following this transaction Mr
Clark has a beneficial interest in 115,526 Ordinary Shares representing 0.78 per
cent. of the Company's issued share capital.
