                      CML MICROSYSTEMS PLC ('the Company')

                            DIRECTOR'S SHAREHOLDING

The Company was notified today that on 8 April 2003 Mr George Gurry, a director
of the Company, transferred 300,000 ordinary shares of 5p each in the Company
('Ordinary Shares') for nil consideration into various family trusts. Mr Gurry
is not the beneficiary of these trusts however he has retained the voting rights
over these shares.  Following this transfer, Mr Gurry has a beneficial interest
of 2,682,182 Ordinary Shares and a non-beneficial interest of 1,700,000
representing 18.35 per cent. and 11.63 per cent. respectively, of the Company's
total issued Ordinary Share capital.
