                            DIRECTOR'S SHAREHOLDING




The Company was notified on 1 August 2002 that on the same day Mr Ronald
Shashoua, a director of the Company, purchased 3,000 ordinary shares of 5p each
in the Company ('Ordinary Shares') at an average price of 163p per Ordinary
Share. Following this acquisition, Mr Shashoua's beneficial interest in the
Company's issued ordinary share capital has risen to 67,371 Ordinary Shares
representing 0.46 per cent. of the Company's total issued ordinary share
capital.
