            CML MICROSYSTEMS PLC ('the Company')
                   DIRECTOR'S SHAREHOLDING
                              
The  Company was notified today that Mr R J Shashoua,  a  non
executive  director of the Company, acquired  8,936  ordinary
shares  of  5p each in the Company ('Ordinary Shares')  at  a
price  of  £6.60  per  Ordinary Share today.  Following  this
acquisition,  Mr  Shashoua's  beneficial  interest   in   the
Company's  issued  ordinary share capital  has  increased  to
64,371  Ordinary Shares representing 0.44 per  cent.  of  the
Company's total issued ordinary share capital.
