            CML MICROSYSTEMS PLC ('the Company')
                   DIRECTOR'S SHAREHOLDING
                              

The Company was notified today that on 8 August 2000 Mr Nigel
G  Clark,  a director of the Company, purchased 673  ordinary
shares  of  5p each in the Company ('Ordinary Shares')  at  a
price   of   £6.45p  per  Ordinary  Share.   Following   this
acquisition, Mr Clark's beneficial interest in the  Company's
issued  ordinary  share capital has risen to 92,769  Ordinary
Shares  representing  0.65 per cent. of the  Company's  total
issued ordinary share capital.
