Change of Director's holding in CLS Holdings plc ('the Company') 

In accordance with paragraph 16.13 of the Listing Rules I write to inform you 
that on 7 June, 2004 the Company received a notice of exercise of options from 
Mr Dan Baverstam, a director of the Company, in relation to the exercise by him 
on 7 June 2004 of options over 60,000 ordinary shares of 25 pence each in the 
capital of the Company. The options were granted on 15 June, 1994 at a price of 
108 pence per share.

Mr Dan Baverstam is now interested in 75,807 ordinary shares of 25 pence each 
in the capital of the Company.
