Issue of Warrants and Options

Cloudbreak Discovery Plc (LSE: CDL), a natural r esource project generator, announces the grant of options over 11,250,000 ordinary shares of 0.1 pence each in the Company (the "Options") to certain of its directors, PDMRs, and other members of staff and the issue of 2,050,000 warrants (the "Warrants").

The Options have an exercise price of 3 pence per share (being a premium of 29% to the closing price on 23August 2021) and can be exercised at any time until the fourth anniversary of grant.

In addition, the Company has issued the Warrants for services rendered which are exercisable at 3 pence per share at any time until the second anniversary of issue.

Following grant of the Options, the Company has 16,300,000 shares under Option, representing 4.18% of the current issued share capital of the Company. In addition, the Company has 45,665,967 Warrants in issue, representing 11.72% of the current issued share capital of the Company.
