TRANSACTION IN OWN SHARES

Close Brothers Group plc (the 'Company') announces that on 11 April 2013 it transferred 12,149 ordinary shares of 25 pence each from treasury to participants in its employee share plans. The transfer price was nil pence.  Following the transfer of these shares, the Company holds 2,966,747 of its ordinary shares in treasury and has 147,640,097 ordinary shares in issue (excluding treasury shares).
