TRANSACTION IN OWN SHARES

Close Brothers Group plc (the 'Company') announces that on 30 May 2012 it transferred 5,156 ordinary shares of 25 pence each from treasury to participants in its employee share plans. The transfer price was 654.48 pence.

Following the transfer of these shares, the Company holds 3,570,075 of its ordinary shares in treasury and has 147,011,238 ordinary shares in issue (excluding treasury shares).
