TRANSACTION IN OWN SHARES

Close Brothers Group plc (the 'Company') announces that on 11 October 2011 it transferred 33,857 ordinary shares of 25 pence each from treasury to participants in its employee share plans.  The transfer price was £nil.

Following the transfer of these shares, the Company holds 4,452,329 of its ordinary shares in treasury and has 146,108,139 ordinary shares in issue (excluding treasury shares).
