TRANSACTION IN OWN SHARES

Close Brothers Group plc (the 'Company') announces that on 1 May 2012 it transferred 195 ordinary shares of 25 pence each from treasury to participants in its employee share plans. The transfer price was 616 pence.

Following the transfer of these shares, the Company holds 3,617,021 of its ordinary shares in treasury and has 146,964,292 ordinary shares in issue (excluding treasury shares).
