TRANSACTION IN OWN SHARES

Close Brothers Group plc (the 'Company') announces that on 20 January 2011 it transferred 5,356 ordinary shares of 25 pence each from treasury to participants in its employee share plans.  The transfer price was 560 pence.

Following the transfer of these shares, the Company holds 4,562,049 of its ordinary shares in treasury and has 145,105,274 ordinary shares in issue (excluding treasury shares).
