TRANSACTION IN OWN SHARES

Close Brothers Group plc (the 'Company') announces that on 7 December 2010 it transferred 72,194 ordinary shares of 25 pence each from treasury to participants in its employee share plans.  The transfer price was 542.98 pence.

Following the transfer of these shares, the Company holds 4,680,456 of its ordinary shares in treasury and has 144,986,867 ordinary shares in issue (excluding treasury shares).
