TRANSACTION IN OWN SHARES

Close Brothers Group plc (the 'Company') announces that on 28 October 2011 it transferred 12,957 ordinary shares of 25 pence each from treasury to participants in its employee share plans. For 3,462 of these shares, the highest and lowest transfer price was 616 pence and 428 pence, respectively. For the remaining 9,495 shares, the transfer price was £nil.

Following the transfer of these shares, the Company holds 4,344,224 of its ordinary shares in treasury and has 146,216,244 ordinary shares in issue (excluding treasury shares).
