Application has been made to The Financial Services Authority and the London
Stock Exchange for a total of 6,800,000 Ordinary shares of 25p each ("shares")
to be admitted to the Official List.

It is expected that admission will be granted on 25 April 2002 and trading will
commence on 26 April 2002

These shares are being issued in relation to a placing for cash in Close
Brothers Group plc to Scottish Widows Investment Partnership at a price for 805p
per share.

These shares will rank pari passu with the existing Ordinary shares.
