                   Close Brothers Group plc (the 'Company')

Application has been made to the London Stock Exchange plc and the UK Listing
Authority for 19,717 Ordinary shares of 25p each ('shares') to be admitted to
the Official List. It is expected that admission to admit the new shares will
 be granted on 13 June 2001 and that dealings will commence on 14 June 2001.

These shares are being issued as part consideration for the company's
acquisition of Metropolitan Factors Limited.

These shares will rank pari passu with the existing issued Ordinary shares.
