Directors Shareholdings



The Company has been notified of the following share purchases by two Directors
which were made on 2 September 2002.



The A D Roper A & M Trust, in which Mr A D Roper has an interest,  purchased
100,000 shares in the Company at a price of 137p per share.  This transaction
represents 0.9 per cent. of the issued share capital.  Following the
transaction, Mr A D Roper has an interest in 2,902,430 ordinary shares, being
27.2 per cent. of the issued share capital.



Mrs J M Taylor, wife of Mr D J S Taylor, purchased 750 shares in the Company at
a price of 137p per share.  This transaction represents 0.01 per cent. of the
issued share capital.  Following the transaction, Mr Taylor has an interest in
8,750 ordinary shares, being 0.1 per cent. of the issued share capital.
