BFS SMALL COMPANIES DIVIDEND TRUST PLC

At a Board Meeting of the Company held yesterday, Michael Latham, Director has
tendered his resignation which the Company has accepted with regret. 

At the same Board Meeting Mr David Harris (50), has accepted an invitation to
join the Board as a non-executive Director with effect from 30 May 2000.
