Character Group PLC 10 July 2003 Issued by Citigate Dewe Rogerson on behalf of The Character Group plc Date: Thursday 10th July 2003 Immediate Release The Character Group plc ('the Character Group' or 'the Group') Under the terms of the agreement to acquire the business and assets of The Really Useful Games Company Limited which was completed on 4 April 2000, the earn-out period has now ended and the Group announces that it has determined, and agreed with Mr Danny Kishon, Managing Director of Character Games Limited, that a final payment is due to Mr Kishon in the gross amount of £800,000. This amount is to be paid in cash. As a result, the Character Group has paid a total of £1,538,000 as consideration for the acquisition and, pursuant to the acquisition agreement and associated arrangements, no further payments or royalties are due. Richard King, Chairman, The Character Group, said: 'The games business was an important acquisition for the Group and clearly underpinned our strategy to broadening our spread of business. Over the last three years we have focused on developing our licensed games business as well as investing in the creation, marketing and selling of our own products in the UK and international markets which includes successes such as three dimensional chess sets and electronic 'Pin the tail on the donkey' which is now being marketed and distributed in the USA by Mattel.'
