In conformity with the Transparency Directive, Celtic Resources today announces
the following:

As at the date of this announcement, Celtic Resources' issued share capital
consists of 55,827,026 ordinary shares of Euro 0.25 each ("Ordinary Shares"),
with voting rights. The Company does not hold any Ordinary Shares in Treasury.

The above figure of 55,827,026 Ordinary Shares may be used by shareholders in
the Company as the denominator for the calculation by which they will determine
if they are required to notify their interest in, or a change to their interest
in, the share capital of Celtic Resources under the FSA's Disclosure and
Transparency Rules.
