RE: BROCHURE OF PARTICULARS


Application has been made for in aggregate 975,000 Ordinary Shares of nominal
value Euro0.025 each in the capital of Celtic Resources to be admitted to
dealing on the Exploration Securities Market of the Irish Stock Exchange. Of
these Ordinary Shares, 625,000 have been allotted as payment to a consultant
and 350,000 have been allotted following the exercise of options. Both
allotments utilise specific sought and received at the Annual General Meeting
of the Company on 23 July, 2001.
