                 Celtic Resources Holdings plc (the "Company")

                 Additional Listing and Significant Shareholder

Application has been made for 1,412,750 new ordinary shares of Euro 0.25 each to
be admitted to trading on the Alternative Investment Market of the London Stock
Exchange. These shares are being issued for cash to the Trustee of the Celtic
Resources Holdings Employee Benefit Trust No 2.

These shares will rank pari passu with existing ordinary shares and dealings are
expected to commence in the new ordinary shares at 8.00am on 30 March 2004.

Following the issue of these shares, the Company has been advised that the
Trustee of the Celtic Resources Holdings Employee Benefit Trust No2 holds
2,227,068 ordinary shares in the Company which represents 6.06 per cent. of the
Company's total issued ordinary share capital.
