Centrica deal approved

Ceres Power Holdings plc 01 February 2008 For immediate release 1 February 2008 Ceres Power Holdings plc ('Ceres' or the 'Company') Result of Meeting and Issue of Equity Further to the Company's announcement of 14 January 2008 that it had entered into a subscription agreement and a development, supply and distribution agreement with certain members of the Centrica plc group on 12 January 2008, the Company announces that the special resolution of the Company's shareholders required in order to complete both of these agreements was proposed at today's General Meeting of the Company and was duly passed on a show of hands by the requisite majority. Consequently, in accordance with the terms of the subscription agreement, the Company will allot and issue a total of 6,671,838 new Ordinary Shares of 5 pence each ('New Shares') to GB Gas Holdings Limited ('GB Gas'), a wholly owned subsidiary of Centrica plc, upon receipt by the Company of the sum of £20,015,514, being the aggregate subscription amount due on the New Shares at the subscription price of £3.00 per share. The allotment and issue is expected to take place on 6 February 2008. Application will shortly be made for the New Shares to be admitted to trading on AIM, which, subject to the allotment and issue taking place on or before 6 February 2008, is expected to occur on 7 February 2008.
