Directors' Share Interests - Share purchase by the Trustees of the
Company's Long Term Incentive Scheme

Centrica plc announces that Mourant & Co Trustees Limited, Trustees of the
Centrica Long Term Incentive Scheme, has acquired 350,000 ordinary shares of 5
5/9p each in Centrica plc on 20th and 23rd October 2000 at the following prices.

         20 October   200,000 at 230p
         23 October   150,000 at 229p

in respect of the Centrica Long Term Incentive Scheme in which the participants,
including Executive Directors and Senior Management, have a potential interest.
