Directors Shareholding and Holdings in the Company

Centaur Holdings plc ('the Company')

The Company announces that on 28th April 2005 Mr G.V. Sherren, Chairman and
Chief Executive of the Company, exercised 336,224 share options at an exercise
price of 11.58p per share and 886,665 share options at 41.67p per share. As a
result of this transaction Mr G.V. Sherren is now interested in 8,128,309
ordinary shares of 10p each in the company representing 5.21% of the issued
share capital.
