Centaur Holdings plc ('the Company')- Amendment

This announcement replaces the holdings announcement released on 29 April 2005
with the RNS number 7584L. This announcement is identical to that released on 20
April 2005 save for the following:

The figures given as percentages of the Company's total issued share capital
were calculated on an incorrect basis. The percentage figure given below is now
correct.

Mr G.V. Sherren, Chairman and Chief Executive of the Company, exercised 336,224
share options at an exercise price of 11.58p per share and 886,665 share options
at 41.67p per share. As a result of this transaction Mr G.V. Sherren is now
interested in 8,128,309 ordinary shares of 10p each in the company representing
5.45% of the issued share capital.
