Celtic PLC 10 January 2008 CELTIC PLC Issued share capital 10 January 2008 As a result of further conversions of Convertible Preferred Ordinary Shares of 100p ('CPO Shares') in the capital of Celtic plc during December 2007, the Company's issued share capital at 31 December 2007 was as follows: 88,494,622 Ordinary Shares of 1p each 14,544,911 Cumulative Convertible Preferred Ordinary Shares of 100p each 16,798,943 Cumulative Convertible Preference Shares of 60 p each 438,603,210 Deferred Shares of 1p each Cumulative Convertible Preference Shares do not carry voting rights. Deferred Shares are not listed, are not transferable and carry no voting rights or substantive economic rights. The above figures for Ordinary Shares and CPO Shares may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest, under the FSA's Disclosure and Transparency Rules. Between 1 September 2007, when the CPO Shares became convertible, and 31 December 2007 3,454,257 CPO Shares have been converted into 7,184,853 new Ordinary Shares of 1p each and 338,240,847 Deferred Shares of 1p each. 7,145,887 of the new Ordinary Shares have been listed to date, with application being made for the remaining 38,966 Ordinary Shares to be listed with effect from 17 January 2008.
