Approach regarding a potential offer for Claims Direct plc


The Board of Claims Direct plc (the 'Company') announces that Tony Sullman and
Colin Poole, the non-executive chairman and deputy chairman of the Company
(the 'Buy-out Team') have made an approach that may or may not lead to an
offer being made for the entire issued and to be issued share capital of the
Company not already owned by them (the 'Potential Offer'). David Hankinson and
David Hickey (the 'Independent Directors') have not yet received the terms and
conditions of the Potential Offer, although the approach indicated a cash
price of 10 pence per ordinary share. As a result of their involvement in the
Potential Offer, Messrs Sullman and Poole have been asked to relinquish any
further involvement in the management of the Company. They have agreed to do
so, and will not take part in any of the Board deliberations in relation to
the Potential Offer. With immediate effect, and while the Potential Offer is
being progressed, David Hankinson (a non-executive director) will assume the
Chair of the board.

Prior to the approach, the Buy-out Team had sought permission from the
Independent Directors to investigate the feasibility of making an offer for
the Company. Such permission was granted subject to a number of conditions,
including that the Buy-out Team undertake to the Company that, in the event of
a more attractive competing offer or third-party proposal, the Buy-out Team
would either raise the value of any offer to match the value of such competing
offer or proposal, or accept the same in relation to their beneficial
shareholdings.

The Independent Directors strongly urge shareholders to take no action at this
stage.  A further announcement will be made in due course.
