Planning for the future - Executive appointments and team restructure

The Group places great importance on its peoples' training, and development of skills and technical knowledge base which can lead to progression within the business which, in turn, leads to identifying the leaders of the future.  This coupled with succession planning at the Executive management level ensures the business can continue to deliver its strategic objectives and ambitions as well as driving trading performance for the benefit of all stakeholders.

With this in mind the board is pleased to announce the following changes:

With effect from today, 24 November 2015:

Mrs Carmel Warren, FCA, is appointed Chief Financial Officer and joins the PLC Board

Carmel joined the Group earlier this year following the acquisition of Speed-Trap Holdings Limited (parent company to Celebrus Technologies Limited ("Celebrus Technologies") where she held the position of CFO and played a key role managing the sale process to IS Solutions.

Carmel (aged 51) is an experienced financial director with over 20 years' experience across multiple industries.  Her operational and board level experience ranges from start-ups to blue chip companies.  Prior to joining Celebrus, she held senior positions with UK insurance broker and financial services provider Brightside Group Plc (as Director of Education), and at business services company, Marshall Keen Limited (as Finance Director).

Mark Boxall re-joins the business as Operations Director of the trading subsidiaries

Mark Boxall (aged 52) has in excess of over 20 years of experience gained from within the IT industry.  He has considerable operational, sales and financial experience having been both board director and senior manager at technology consultancies and product based technology companies such as rbase, Morse, PTC and Siemens.

Mark has also been involved with both start-ups and global corporations.  His most recent role has been as Senior Manager at EMC, where he was responsible for managing sales engagements, to transform IT, for the largest global investment banks. Prior to EMC, Mark has also gained valuable experience in corporate finance transactions, both as principal and advisor.  Prior to this he was a founding director of Chapter26 Ltd which was acquired by IS Solutions in 2008.  Mark subsequently was responsible for the continued success and integration of the two organisations.

With effect from 1 April 2016:

John Lythall steps down as Managing Director

John Lythall, co-founder & Managing Director of IS Solutions Plc will at the end of the current financial year ending 31 March 2016 step down from his executive role after 30 years of service.  However he will remain with the business as a Consultant and Non-Executive Director on the PLC Board.

Peter Kear takes over as Chief Executive Officer

John will hand over the mantle to Peter Kear who will take up the role of CEO at the start of the financial year.  Peter, currently Sales Director and a member of the PLC Board, was also a co-founder of the IS Solutions business and he has worked with John since 1977 and was appointed an Executive Director on its formation in 1985.

Chairman, Peter Simmonds said today:

"On behalf of my fellow directors, colleagues and shareholders I would like to congratulate Peter, Carmel and Mark on their respective promotions.

"John has managed the business very successfully for over 30 years with Peter working alongside him so he is a worthy successor to take on the CEO role.  I am confident that with a strong business model, clear strategy and our technically skilled and highly motivated people Peter and the team will take IS Solutions from strength to strength in the future.

"The Board is also delighted that John will remain with the business in a new role and I am in no doubt that he will continue to make a solid contribution to the delivery of our aspirations and goals in the future.  I would also like to thank John for his executive service and wish him and his wife many years of enjoyment in the impending semi-retirement.

"I am confident that the combination of our team's extensive hands-on knowledge and commercial experience gained over years at senior operational levels will strengthen, add value and help us to deliver the next stage in our growth aspirations.

"As Chairman, I look forward to working alongside all of them in the years ahead."
