Catalyst Media Group PLC 01 June 2007 Catalyst Media Group plc ('Catalyst' or 'the Company') Board Changes Catalyst is pleased to announce the appointment to the Board of Mark Hawtin, Melvin Lawson and Christopher Mills as Non-Executive Directors with effect from 1 June 2007. Mark Hawtin is a partner of Marshall Wace LLP, one of Europe's leading hedge fund managers with more than $12 billion under management. Through The Eureka (Euro) Fund Limited, Marshall Wace LLP has an interest in 601,011,717 ordinary shares of 0.1p each in the Company ('Ordinary Shares') representing 21.36% of the entire issued share capital. Melvin Lawson is a director of a number of private companies involved in house building and commercial property investment. He is managing director of A Beckman plc, a company formerly listed on the London Stock Exchange and is a non-executive director of Telecom Plus plc. Mr Lawson has an interest in 181,548,621 Ordinary Shares representing 6.45% of the entire issued share capital. In addition, Singer & Friedlander Investment Management Limited ('Singer') has an interest in 119,699,215 ordinary shares representing 4.25%. For the purposes of the Takeover Code, Mr Lawson and Singer are deemed to be acting in concert and therefore together own 10.7% of the Company. Christopher Mills is chief investment officer of J O Hambro Capital Management Limited, which he joined in 1993. Mr Mills is also chief executive and investment manager of North Atlantic Smaller Companies Investment Trust PLC (a UK listed investment trust) and a director and investment manager of Oryx International Growth Fund Limited. He is a member and chief investment officer of North Atlantic Value LLP, which is interested in 225,000,000 Ordinary Shares representing 7.99% of the entire issued share capital of the Company. Prior to joining the J O Hambro Capital Management group he worked from 1975 to 1993 for Samuel Montagu Limited, Montagu Investment Management Limited, and its successor company, Invesco MIM. In addition, the Company announces that Sir David Frost O.B.E is stepping down from the Board as a Non-Executive Director on 31 May 2007. Receivers were appointed to Versatile Group Limited (reg. no. 03303164) of which Christopher Mills was a director, and its subsidiaries Versatile Projects Limited and Castle Finance Limited by Bank of Scotland who had charges and cross guarantees supporting a debt of £2.04 million in addition to which the group had net liabilities of in excess of £700,000 to unpaid creditors. Versatile Group Limited was dissolved under section 652 of the Companies Act 1985 on 15 May 2001. Receivers were appointed to Nationwide Security Group Limited, of which Christopher Mills was a director, on 16 February 2000 and realised sufficient assets to repay all creditors and make a small distribution. Administrators were appointed to PNC Telecom Plc on 23 June 2003 and the administration order was discharged (and PNC Telecom Plc resumed business) on 15 January 2004. Christopher Mills was a director of PNC Telecom Plc until his resignation on 3 February 2003. The other companies referred to above as dissolved or in liquidation were not insolvent.
