                              Total Voting Rights

In conformity with the Transparency Directive's transitional provision 6, we 
would like to notify the market of the following:

The Company's share capital following the issue of 74,414,657 common shares of 
$0.01 each in the capital of the Company ('Common Shares') in respect of 
acceptances received under the Company's recommended offer for the entire issued
and to be issued share capital of Wellington Underwriting plc as at the first 
closing date of such offer, being 18 December 2006, and the issue of 6,059 
Common Shares following the exercise of options under the Company's Long Term 
Incentive Plan is now 238,283,281 with voting rights.  The Company holds no 
shares in Treasury. Therefore the total number of voting rights in the Company 
is 238,283,281.

The above total voting rights figure may be used by shareholders as the 
denominator for the calculations by which they will determine whether they are 
required to notify their interests in, or a change to their interest in the 
Company under the FSA's Disclosure and Transparency Rules.
