DIRECTORS' AND PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES' SHAREHOLDINGS

It is announced that allocations of and/or options over Catlin Group Limited's (the "Company") common shares of $0.01 each ("Common Shares") were granted on 10 February 2015 pursuant to the Company's Performance Share Plan ("PSP") as follows:

Up to 50% of each award will be eligible to vest in each of 2018 and 2019, but only to the extent that the performance conditions set forth in the PSP are achieved.

No consideration was payable upon grant of the awards or will be payable upon the exercise and/or vesting of any of the awards.

It is further announced that the following acquisitions of Common Shares occurred upon the exercise and/or vesting of nil cost Performance Share Plan awards on 9 and 10 February 2015:

As a result of exercising his PSP awards, Mr Catlin will receive an additional 53,667 Common Shares representing dividend equivalents on 17 February 2015.  His total holding at that date will be 6,411,696 Common Shares.

As a result of the vesting of his PSP award, Mr Banas will receive an additional 39,484 Common Shares representing dividend equivalents on 17 February 2015.  His total holding at that date will be 694,038 Common Shares.
Joanne Mier	Person discharging managerial responsibilities	40,582	n/a
As a result of the vesting of her PSP award, Ms Mier will receive an additional 9,467 Common Shares representing dividend equivalents on 17 February 2015.  Her total holding at that date will be 107,301 Common Shares.

The above PSP awards were satisfied by the issue of new shares and the dividend equivalents by shares from the Catlin Group Limited Employee Benefit Trust.

This announcement is made in accordance with Disclosure and Transparency Rule 3.1.4 R (1)(a).
