                   NOTIFICATION OF INTEREST IN SHARES


The  Board of Carr's Milling Industries PLC (the 'Company') was notified
on  8 September 2000, in accordance with the provisions of sections 198-
202 of the Companies Act 1985, that as a result of a purchase of 120,000
ordinary  shares  of 25p each in the Company, Mercury  Asset  Management
Limited has an interest in 1,081,500 shares in the Company, representing
13.52  per cent. of the issued ordinary share capital.  The shareholding
is registered as follows:
