                     NOTIFICATION OF INTEREST IN SHARES

The Board of Carr's Milling Industries PLC (the 'Company') was notified on 
24 July 2000, in accordance with the provisions of sections 198-202 of the
Companies Act 1985, that as a result of a purchase of 220,000 ordinary shares of
25p each in the Company, Mercury Asset Management Ltd has an interest in 961,500
shares in the Company, representing 12.02 per cent. of the issued ordinary share
capital. The shareholding is registered as follows:
