                    Result of EGM/ Completion of Acquisition


Carr's, the Cumbria-based agriculture, food and engineering business, announces
that, at the Extraordinary General Meeting which took place earlier today, the
ordinary resolution proposed to shareholders was duly passed.

The Company also announces that the acquisition, announced on 29 October 2004,
of Meneba UK Holdings Limited, which owns and operates two flour mills, has been
completed.
