                            Directors' Shareholding




The board of Carr's Milling Industries was notified on 13 May 2002 that Kathleen
Newton, wife of David Newton, sold 15,000 ordinary shares in the Company on 3
May 2002 at 162.5p. On 7 May 2002, David Newton purchased 15,000 ordinary shares
in the Company at a price of 165p.


Following these transactions, David Newton's total beneficial holding in the
Company continues to be 15,000, representing 0.2 per cent. of the Company's
issued share capital.
