In conformity with the Transparency Directive's transitional provision 6 we
would like to notify the market of the following:

Carillion plc's capital consists of 281,242,738 ordinary shares with voting
rights. No shares are held in Treasury.

Therefore, the total number of voting rights in Carillion plc is 281,242,738.

The above figure (281,242,738) may be used by shareholders as the denominator
for the calculations by which they will determine if they are required to notify
their interest in, or a change to their interest in, Carillion plc under the
FSA's Disclosure and Transparency Rules.
