Directors' Notification of Dealing in Shares

Carillion plc (the Company) has been notified today that the Carillion plc
Employee Share Ownership Trust has acquired 3,236,224 ordinary shares of 50p
each in the capital of the Company at an average price of 92.06p per share.
The executive directors of the Company, namely Sir Neville Simms, C Girling, E
McEwan, R W Robinson and B J Sharples, have an interest in these shares in
their capacities as potential beneficiaries under the said Trust.

The shares will be held in trust for the purposes of the Company's Founders'
Equity Plan and Long Term Incentive Plan.
