Acquisition of shares by the Carillion plc Qualifying Employee Share Ownership
Trust

We were today notified that the trustee company of the Carillion plc
Qualifying Employee Share Ownership Trust acquired 1,572,765 ordinary shares
of 50p each, less than 1% of the issued share capital, (to be held as part of
the trust fund to satisfy SAYE options granted to employees of Carillion
Construction Limited) at a price of 117.5 pence each on 13th January 2000. The
following directors are potentially beneficiaries under the terms of the
Qualifying Employee Share Ownership Trust:
