             Employee Share Ownership Trust - Directors' Interests

Carillion plc (the Company) was notified yesterday, 13 June 2005, that the
Carillion plc Employee Share Ownership Trust (the Trust) on 13 June 2005
transferred 7,471 Carillion plc ordinary shares of 50p each (less than 0.01% of
the issued share capital) pursuant to the exercise of options under the
Carillion Sharesave Scheme.

The number of Carillion plc ordinary shares now held by the Trust is 3,929,947
(1.832% of the issued share capital).

Directors of the Company have an interest in these shares as potential
beneficiaries under the said Trust.
