             Employee Share Ownership Trust - Directors' Interests

Carillion plc (the Company) was notified today, 25 April 2005, that the
Carillion plc Employee Share Ownership Trust (the Trust) transferred on 20 and
22 April 2005 16,630 and 3,093 Carillion plc ordinary shares of 50p each (0.009%
of the issued share capital) pursuant respectively to the exercise of options
under the Carillion Executive Share Option Scheme and Sharesave Scheme.

The number of Carillion plc ordinary shares now held by the Trust is 3,948,550
(1.84% of the issued share capital).

Directors of the Company have an interest in these shares as potential
beneficiaries under the said Trust.
