             Employee Share Ownership Trust - Directors' Interests

Carillion plc (the Company) was notified today, 23 March 2005, that the
Carillion plc Employee Share Ownership Trust (the Trust) has transferred a total
of 22,367 Carillion plc ordinary shares of 50p each (0.01% of the issued share
capital) pursuant to the exercise of an option under the Carillion Executive
Share Option Scheme.

The number of Carillion plc ordinary shares now held by the Trust is 4,001,636
(1.87% of the issued share capital).

Directors of the Company have an interest in these shares as potential
beneficiaries under the said Trust.
