             Employee Share Ownership Trust - Directors' Interests

Carillion plc (the Company) was notified today, 12 April 2005, that the
Carillion plc Employee Share Ownership Trust (the Trust) transferred on 12 April
2005 a total of 18,776 Carillion plc ordinary shares of 50p each (0.009% of the
issued share capital) pursuant to the exercise of an option under the Carillion
Executive Share Option Scheme.

The number of Carillion plc ordinary shares now held by the Trust is 3,968,273
(1.85% of the issued share capital).

Directors of the Company have an interest in these shares as potential
beneficiaries under the said Trust.
