          Interests of Persons Discharging Managerial Responsibilities

Carillion plc (the Company) was notified today, Thursday 10 November 2005, that
the Carillion plc Employee Share Ownership Trust (the Trust) on Wednesday
9 November 2005 transferred 55,530 Carillion plc ordinary shares of 50p each
(0.03% of the issued share capital) pursuant to the exercise of an option under
the Carillion Executive Share Option Scheme.

The number of Carillion plc ordinary shares now held by the Trust is 3,716,958
(1.73% of the issued share capital).

Persons discharging managerial responsibilities have an interest in these shares
as potential beneficiaries under the said Trust.
