             Employee Share Ownership Trust - Directors' Interests

Carillion plc (the Company) was notified today, that the Carillion plc Employee
Share Ownership Trust (the Trust) on 1 July 2005 transferred 1,790 Carillion plc
ordinary shares of 50p each (less than 0.01% of the issued share capital)
pursuant to the exercise of options under the Carillion Sharesave Scheme.
The number of Carillion plc ordinary shares now held by the Trust is 3,928,157
(1.831% of the issued share capital).

Directors of the Company have an interest in these shares as potential
beneficiaries under the said Trust.
