Carillion plc (the "Company") announces the following change in the interests of Richard Howson, Chief Operating Officer, in ordinary shares of 50 pence each in the share capital of the Company ("Shares")
Deferred Bonus Plan (the "Plan")
Shares were transferred under the Plan on 18 March 2011 to Mr Howson as set out below. In accordance with the Plan rules, the shares were held in trust before being transferred.

Mr. Howson was not tax resident in the UK when the shares were awarded under the Plan.
