Roger Robinson, Executive Director Construction Services, on 6 October 2006
exercised Executive Share Options over 97,918 Carillion plc ordinary shares of
50p each (0.035% of the issued share capital) granted on 1July 2003 at an option
price of 163.4 pence.

The 97,918 shares were then sold (including for tax and national insurance
purposes) on 6 October 2006 at a price of 367.5 pence per share.

The total number of Carillion ordinary shares of 50p now held by Roger Robinson
following this transaction is 96,941 (0.034% of the issued share capital).

Following this transaction, the Trust holds 1,137,177 shares (0.4% of the issued
share capital).
