Susan Morton, Group HR Director, on 2 October 2006 exercised Executive Share
Options over 44,062 Carillion plc ordinary shares of 50p each (0.016% of the
issued share capital) granted on 1July 2003 at an option price of 163.4 pence.
The 44,062 shares were then sold (including for tax and national insurance
purposes) on 2 October 2006 at a price of 365.0 pence per share.

The total number of Carillion ordinary shares of 50p now held by Susan Morton
following this transaction is 48,724 (0.017% of the issued share capital).

Following this transaction, the Trust holds 1,235,095 shares (0.44% of the
issued share capital).
