Appointment

Carillion PLC 30 November 2000 Carillion appoints new Chief Executive The Board of Carillion plc is pleased to announce that John McDonough is to be appointed as its new Group Chief Executive. The current Chairman and Chief Executive, Sir Neville Simms, will become non-executive Chairman of Carillion, one of the UK's leading construction to services groups. John McDonough, who is 49, will take up his appointment in January 2001 and will be joining Carillion from Johnson Controls Inc., where he is currently Vice President, Integrated Facilities Management, Europe, the Middle East and Africa. As a member of Johnson Controls top management team, he has led the development of its integrated facilities management business across these regions, including involvement in private finance projects and in the provision of a range of integrated solutions for the outsourcing market. Under the leadership of Mr McDonough, Carillion will be looking to accelerate its strategy to generate a growing stream of more visible and predictable earnings through the development of its service-related businesses of private finance, infrastructure management and integrated facilities management, while continuing to develop its well established construction activities on a selective basis. This strategy has already seen these service-related activities grow rapidly over the last few years to the point where they will soon contribute around half of Carillion's operating profit. Commenting on the appointment, Carillion's Chairman, Sir Neville Simms, said, 'I am delighted that John McDonough will be joining us as our new Chief Executive. It is clear that he has the experience to lead Carillion forward in the next phase of its development and growth and he will clearly be a valuable addition to our strong senior management team.' Deputy Chairman of Carillion and Chairman of the Appointments and Remuneration Committee, Roger Brooke, said, 'The successful launch of Carillion and the progress it has made in such a short time to become one of the UK's leading construction to services companies is in no small measure due to the leadership and commitment of Sir Neville. He will of course be continuing as Chairman and the Board is confident that he and John McDonough will form an excellent team for the future.' Notes to editors At the time of Carillon's demerger from Tarmac in July 1999, it was made clear that the decision to combine the roles of Chairman and Chief Executive would be for a limited period to oversee the launch of the new group and to see it established successfully as an independent construction to services company. A commitment to separate the roles of Chairman and Chief Executive no later than the AGM of 2001 was given in Carillion's Listing Particulars, published in June 1999. After graduating in Mechanical Engineering from Imperial College, London, in 1972, John McDonough joined Massey Ferguson where he held a number of positions in production before moving to the parts side of the business and subsequently to export sales. In 1991 he joined Johnson Controls Inc as UK Managing Director, Automotive Systems Group (ASG). In 1992, he was appointed Vice President, European Operations, ASG, and four years later, Vice President, Asia Pacific, ASG, before becoming Vice President, Integrated Facilities Management, Europe, the Middle East and Africa. Mr McDonough is married with two children. Sir Neville Simms has been Chairman and Chief Executive of Carillion plc since its demerger from Tarmac in July 1999. Previously, he was Group Chief Executive and Deputy Chairman of Tarmac plc. Sir Neville, who has spent some 35 years in the industry, was awarded a knighthood in 1998 for services to the construction industry. He is Chairman of International Power, a member of the Court of the Bank of England and a Fellow of the Royal Academy of Engineering. Carillion is one of the UK's leading construction to services companies. Since its demerger from Tarmac, its strategy has been to develop its service-related businesses of Private Finance, Infrastructure Management and Services, while continuing to develop its traditional construction activities in Building and Capital Projects on a selective basis. With a turnover in 1999 of some £1.8 billion, Carillion has leading market positions in all main areas of its activities in the UK as well as four overseas regional businesses in France, the Middle East, Canada and the Caribbean.
